(1) Includes 10,000 previously inadvertently omitted deferred stock units granted pursuant to the 2012 Equity and Performance-Based Incentive Compensation Plan. Deferred stock units vest in ten (10) equal annual installments over the duration of the reporting person's board service and are payable in shares of common stock upon retirement.
(2) Stock option granted pursuant to the 2003 Equity and Performance-Based Incentive Compensation Plan. Option vests in five (5) equal annual installments beginning one (1) year from the date of grant.
(3) Stock option granted pursuant to the 2012 Equity and Performance-Based Incentive Compensation Plan. Option vests in five (5) equal annual installments beginning one (1) year from the date of grant.
